Gene, I HIGHLY suggest you go to account, pay $100 (or whatever), and 
ask them your questions.  Starting your own company is not something 
you want to screw around with.  Alot of us on this list have good 
intentions, but for most of us tax/incorporation law is not our 
expertise.  Even those folks who really know there stuff (how can you 
trust who replies?), I've been absolutely amazed at how the 
tax/incorporation law changes every single year.  It takes a 
professional to not only understand these issues, but stay current with 
the constant changes.
